This is regarding windows 7

My dad wants to keep all his files and not worry about backing up and reinstalling many things over again

So im supposing when you install windows 7 you can just upgrade?
He has vista ultimate 64bit
and we want to upgrade to 32bit and not reformat

or is it neccessary to do a clean install?

Why not get the 64-bit version of Win7 aswell, that way you can upgrade to Win7. If you want to get the 32-bit version you have to do a clean install(reformat).

Hmm so if I get the 64bit version, I wont have to format? I can select the upgrade option when installing ?
