Hey,
My games (cod4,borderlands) wil randomly minimize during gameplay and there will be no visible window in focus (im using vista BTW). Im running AVG and Spybot, they both come up clean.

Make sure none of your keys are stuck. Try doing Ctrl + Del and see if task manager pops up. This shit has happened to me plenty of times.

It happens randomly, i've gotten up to go to the restroom and have come back in time to see it minimize.

Could be some background application showing a notification. Get Game Booster. It'll prevent that from happening. Try using it and see if it still happens.

Well it also prevents background processes from interfering with the foreground, full screen application (your game) which I'm 99% sure is the problem.

Woot, fixed. I'd like a more permanent fix but it is a great tool!
